Interpretation

Capitalized words have meanings defined here. The definitions apply whether in singular or plural.

Definitions

1. Affiliate: means an entity that controls, is controlled by, or is under common control with a party (ownership of 50%+ voting interests).
2. Company: (also “we”, “us”, or “our”) means Minim-L LLC, a Texas limited liability company, and its affiliates, subsidiaries, and sister brands, including but not limited to RightClixs LLC and Premium Web. Payments processed under any of the Company’s brands (Minim-L, RightClixs, Premium Web) are legally payable to Minim-L LLC or the brand’s registered legal entity as stated on the invoice. Each brand may issue its own invoice/contract but all are collectively governed by these Terms.
3. Intellectual Property: rights in work product created under Minim-L, RightClixs, or Premium Web shall remain with the specific legal entity you contracted with until full payment is made, after which rights transfer as described in these Terms.
4. Limitation of Liability: in no event shall Minim-L LLC, RightClixs LLC, Premium Web, or any of their affiliates be liable collectively or individually for any damages exceeding the amount actually paid for the applicable Service, regardless of the brand through which it was purchased.
5. Governing Law & Venue: these Terms and any dispute shall be governed by the laws of the State of Texas. Exclusive venue shall be Harris County, Texas.
6. Country/State: refers to the United States, State of Texas.
7. Device: means any device that can access the Service (computer, phone, tablet).
8. Service: Minim-L operates multiple brands, including RightClixs and Premium Web, which may market and deliver Services under their respective trade names. Any purchase made through any of these brands is governed by these Terms.
9. Website: means minim-l.com, rightclixs.com, premiumwebs.com.
10. You: means the individual or legal entity accessing or using the Service.

Acknowledgment

These Terms govern your use of the Service and form a binding agreement between you and Minim-L. By accessing or using the Service, you agree to these Terms and to our Privacy Policy. You must be 18+ to use the Service.

Links to Other Websites

Our Service may contain links to third-party websites. We are not responsible for the content, policies, or practices of such websites.

Termination

We may suspend or terminate your access to the Service immediately for any breach of these Terms. Upon termination, your right to use the Service will cease immediately.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE” without any warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by law, neither the Company nor its suppliers shall be liable for any indirect, incidental, or consequential damages. The aggregate liability will not exceed the amount paid for the Service or USD $100, whichever is greater.

Governing Law & Venue

These Terms are governed by the laws of the State of Texas. All disputes shall be resolved exclusively in Harris County, Texas.

Dispute Resolution / Arbitration

If a dispute cannot be resolved through our support team (support@minim-l.com) within 30 days, it shall be settled through binding arbitration in Texas under the Commercial Arbitration Rules of the American Arbitration Association. Class actions are not permitted.

Payment Terms & Chargebacks

• By purchasing, you authorize us or our processor to charge your selected payment method.
• You agree not to initiate chargebacks before contacting us in writing and allowing reasonable time to resolve the issue.
• Unauthorized chargebacks may be contested, and we may recover associated fees or legal costs where permitted.

Intellectual Property & Ownership

• All intellectual property rights remain the property of Minim-L until full and final payment.
• Upon full payment, you receive a non-exclusive, non-transferable, worldwide license for your business use.
• If a refund is issued, all rights revert to Minim-L and you must cease using all related materials.
• Unless otherwise notified in writing, Minim-L may display non-confidential work in its portfolio or marketing materials.

Client Responsibilities

You agree to provide timely feedback, approvals, content, and access credentials. Delays on your part may affect delivery timelines. You confirm that all materials you provide are free of third-party rights violations.

Acceptance of Deliverables

Deliverables are considered accepted when you confirm acceptance in writing or fail to request revisions within seven (7) days of delivery. Additional revisions after acceptance may incur extra fees.

Revision Policy

Revisions are provided according to your selected package. “Unlimited revisions” apply only when the original design concept remains the same. Standard revision turnaround time is 48 business hours.

Refund Policy / Money-Back Guarantee

• Deposited funds are not refundable after delivery if the initial concepts are approved or any change is requested, unless Minim-L cancels your contract without your breach.
• Before delivery of initial concepts → Full refund (less 10% processing).
• Between 48–120 hours → 33% refund (less 10% processing).
• Within 48 hours of initial design delivery → 66% refund (less 10% processing).
• After 120 hours of initial delivery → No refund.
• No refund if you take no action for 30 days after order; reactivation may incur fees.
• No refunds: hosting, website maintenance, optimized marketing plans once initiated, deployments already completed, video animation after storyboard approval.
• For bundled/custom packages, refunds apply per service as above.
• Refund requests must include a valid reason tied to the design brief and your feedback history. If the concept matches the brief, a refund will not be granted; we will continue revisions toward satisfaction.
• Orders placed in bad faith (e.g., multiple agencies for same job aimed at refunds) may be denied
• Upon any refund, all rights revert to Minim-L and you must cease all use of the designs/work.

Quality Assurance & Satisfaction

All designs are created according to your provided brief and undergo thorough research to ensure quality and originality. We will continue revisions within the package terms until you are satisfied.

Domain & Hosting

Where included, domain and hosting are provided free with website packages. Email accounts (10 MB each) can be configured in third-party email software. If you host elsewhere, we do not provide email accounts.

Delivery Policy

Design files are delivered to your account or email as specified in your Order Confirmation. Standard delivery is 5–7 business days; rush delivery (within 48 hours) is available for an additional $100.

Record Maintenance

We retain a record of finalized files after delivery. On request, we can re-share those files if still available.

Customer Support

We provide support via the channels listed on the Website. Response times may vary by queue and business hours.

Communication Policy

We are responsible only for communications from our official domain (…@Minim-L.com) and published phone numbers on our Website. We are not liable for communications from other domains/numbers.

Access to Information

You agree to provide accurate, current, and complete information. Minim-L may securely store payment data under PCI-DSS compliance for recurring or authorized transactions.

Privacy & Data Protection

We process personal data in accordance with our Privacy Policy and applicable law, including the CCPA and GDPR. By using our Service, you consent to this processing.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, internet outages, strikes, wars, or government actions.

SMS Terms & Conditions

• Consent: Phone numbers collected for SMS are not shared with third parties for marketing.
• Types & Frequency: Service or order updates; frequency varies.
• Opt-Out: Reply “STOP” to any message to unsubscribe; “START” to resubscribe.

Severability & Waiver

If any provision is found unenforceable, the remaining provisions remain valid. Failure to enforce any right does not waive future enforcement.

Electronic Signatures

Electronic signatures, click-through acceptances, and email approvals are legally binding and enforceable.

Entire Agreement

These Terms, together with any order, statement of work, or written change order, constitute the entire agreement between you and Minim-L.

Changes to These Terms

We may modify these Terms at any time. Material changes will be posted with reasonable notice. Continued use of our Service after updates constitutes acceptance of the revised Terms.
